1. Acceptance of terms

By accessing and using the Panorama Realista S.A. platform (hereinafter, 'the Platform'), you accept these Terms and Conditions in their entirety. If you disagree with any part of these terms, you should not use our Platform. We reserve the right to modify these terms at any time, and your continued use of the Platform constitutes acceptance of such modifications.

2. Service description

Panorama Realista operates a real estate crowdlending platform that connects investors with urban development and construction projects in Argentina. The Platform facilitates collective investment in real estate projects, allowing multiple investors to participate in ventures that would individually be inaccessible. We are not a financial entity regulated by the Central Bank of the Argentine Republic, but a technology platform that facilitates investments in real estate projects under the supervision of the National Securities Commission.

3. Registration and user account

To use the investment services, you must create an account by providing truthful, complete, and up-to-date information. You are responsible for maintaining the confidentiality of your access credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. We reserve the right to suspend or cancel accounts that violate these terms or show suspicious activity.

4. Investor requirements

To invest through our Platform, you must: be over 18 years old, be an Argentine resident or foreigner with valid documentation to operate in Argentina, comply with identity verification requirements (KYC), provide valid bank information to receive transfers, and accept the risks inherent to real estate investments. We reserve the right to reject registrations that do not meet our eligibility criteria.

5. Nature of investments

Investments made through our Platform carry risks. Invested capital is not guaranteed and you may lose part or all of your investment. Past returns do not guarantee future returns. Each project has its own specific risks detailed in its documentation. We are not responsible for losses resulting from investment decisions. We recommend consulting a financial advisor before investing.

6. Investment process

When selecting a project to invest in, you must carefully review all available documentation. Once your investment is confirmed and the transfer is made, the commitment is binding according to the specific terms of the project. Funds are held in segregated accounts until allocated to the project. Returns will be distributed according to the schedule established for each project. You cannot withdraw your investment before maturity, unless a secondary market is established.

7. Fees and costs

Our Platform charges fees for investment management. Applicable fees are clearly detailed before confirming any investment and include: annual management fee on invested capital, success fee on generated returns, and possible bank transfer costs depending on your financial institution. All amounts shown on the Platform include applicable taxes.

8. Intellectual property

All content on the Platform, including texts, graphics, logos, images, software, and its compilation, is the property of Panorama Realista S.A. or its licensors and is protected by Argentine and international intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our express written consent.

9. Limitation of liability

Panorama Realista S.A. shall not be liable for: indirect, incidental, or consequential damages, investment losses due to market fluctuations or developer default, service interruptions due to causes beyond our control, actions of third parties including real estate developers, or investment decisions based on information provided on the Platform. Our maximum liability is limited to the amount of fees paid by the user.

10. Applicable law and jurisdiction

These Terms and Conditions are governed by the laws of the Argentine Republic. Any dispute related to these terms or the use of the Platform shall be submitted to the exclusive jurisdiction of the ordinary courts of the Autonomous City of Buenos Aires, expressly waiving any other forum or jurisdiction that may correspond.
